Terms of Service

These Terms constitute a legally binding agreement between you and KVMNODE. Registering an account, purchasing an instance, or using the service in any way indicates that you have fully read and unconditionally accepted all of the following terms.

In this agreement, "you", "user", and "customer" refer to any natural person or legal entity accepting these terms. "Service" refers to all VPS instances, network resources, the console, and API endpoints provided by KVMNODE. If you do not agree to these terms, please immediately discontinue use of all services.

Acceptance of Terms and Account Registration

You must have reached the legal age of majority in your jurisdiction to enter into this agreement and use the service. When registering on behalf of a company, the registrant must have the appropriate legal authorization.

  • ๐ŸชชAccuracy of information:You agree to provide truthful, accurate, and complete contact information during registration. If false identities or proxy bulk registration are detected, KVMNODE reserves the right to immediately terminate the account without refund.
  • ๐Ÿ”Account security:You are fully responsible for all activities under your account, including any losses resulting from compromised passwords or API keys. KVMNODE bears no liability for damages caused by loss or theft of such credentials.
  • ๐Ÿ‘คSingle account principle:Each natural person or legal entity may hold only one account. KVMNODE reserves the right to merge or immediately cancel multiple accounts held by the same entity. Such action constitutes a material breach, and fees already paid will not be refunded.
  • โœ๏ธRight to amend terms:KVMNODE reserves the right to unilaterally modify these terms at any time. Revised versions take effect immediately upon publication on the platform. Continued use of any service constitutes unconditional acceptance of all revised terms without individual notification.

Billing, Subscription, and Refund Policy

Our billing system operates on the principle of transparent prepayment. All prices are in US dollars (USD).

  • ๐Ÿช™Full prepayment:All service fees must be paid in full at the time of ordering, at the price shown on the page at order confirmation. KVMNODE reserves the right to adjust pricing at any time; new prices apply to all new orders immediately.
  • ๐Ÿ”„Weekly/monthly/quarterly auto-renewal:Subscription plans are automatically charged and renewed at the end of each billing cycle. To cancel, you must do so at least 24 Hours in advance via the console; otherwise the system will automatically attempt to charge. Successfully renewed payments are non-refundable.
  • ๐Ÿ“…Daily one-time purchase:Daily billing instances are a one-time prepaid service. Upon expiry, the system automatically disconnects and reclaims the device into the resource pool. Auto-renewal does not apply.

ScenarioRefund Handling
Cancellation before activation If a cancellation request is submitted before instance delivery is complete, a refund is issued minus a 5% processing fee (minimum $1) to the account balance. Refunds to the original payment channel are not supported.
Any scenario after activation No refunds under any circumstances, including but not limited to voluntary cancellation, network connectivity issues, no longer needing the service, accidental orders, or any personal reason.
Termination due to policy violation If an account is terminated due to a violation of the AUP or any provision of these Terms, all fees paid are forfeited and will not be refunded.
SLA not met If an SLA breach is caused by KVMNODE infrastructure, you may submit a ticket within 14 days of the incident to request service credit. Compensation is capped at the actual subscription amount of the affected instance for that month, issued as service credit only โ€” not redeemable for cash.

โš ๏ธ Overdue balance exceeding 7 calendar days will trigger automatic instance reclamation and deep disk wipe. Any data loss resulting from this is your sole responsibility; KVMNODE bears no liability for compensation.

03 RESTRICTED ACTIONS

Acceptable Use Policy (AUP)

KVMNODE provides dedicated underlying compute resources and a fully virtualized environment, butstrictly prohibits using our network backbone and hardware resources for any malicious or illegal purpose. Any AUP violation will trigger an immediate BGP Null Route block, with no refund of fees paid. We reserve the right to cooperate with law enforcement.

    Network attacks strictly prohibited:Launching or facilitating DDoS attacks, port scanning, IP spoofing, brute-force attacks, bulk spam campaigns, and operation of any botnet command-and-control (C2) node is prohibited.

    Unauthorized mining strictly prohibited:Given the overall cooling and power capacity constraints of the data center, running any cryptocurrency mining programs (crypto-jacking) on instances is prohibited.

    Content compliance:Hosting any content that violates the laws of the jurisdictions in which our data centers are located (the US, Singapore, Japan, South Korea, Hong Kong, etc.) is prohibited, including but not limited to infringing material, phishing sites, and fraud pages.

    Unauthorized reselling prohibited:Without explicit written permission from KVMNODE, you may not sell, transfer, subcontract, or share instance access in any form to any third party.

Service Delivery and SLA Commitment

โœ… 99.9% Network Uptime โšก Power Supply Guarantee โฐ 14-Day Application Window

We commit to enterprise-grade infrastructure availability, subject to the following clearly defined limitations:

  • ๐Ÿ“ถNetwork and power SLA:KVMNODE commits to 99.9% network connectivity and power supply uptime per billing cycle, excluding scheduled maintenance windows.
  • โŒExclusions from SLA:User-caused actions (including accidental OS deletion or misconfiguration), scheduled maintenance (with 24-hour advance notice), force majeure events (earthquakes, typhoons, war, submarine cable cuts), bans due to policy violations, and third-party carrier network failures are all excluded from SLA calculations.
  • ๐ŸŽCompensation mechanism:SLA breaches must be reported via ticket within 14 calendar days of the incident; late submissions will not be accepted. Compensation is issued as service credit only, capped at the actual subscription amount of the affected instance for that month โ€” not redeemable for cash.

Intellectual Property and Data Sovereignty

We uphold the boundaries of an infrastructure provider โ€” your code and data always belong to you:

  • ๐Ÿ’ปUser data ownership:All intellectual property rights over the code you deploy, data you store, and business logic you run on your leased instance belong to you. KVMNODE makes no claim and does not access or analyze the content in any way.
  • โš ๏ธData backup responsibility:KVMNODE does not provide any default cloud snapshots or file-level backups. Off-site backup of critical business data is your sole responsibility. After an instance expires or an account is terminated, disk data will be permanently destroyed after the 24-hour grace period โ€” this is irreversible.
  • ๐ŸขKVMNODE platform intellectual property:The KVMNODE console, API, brand identifiers, and all independently developed content are the exclusive property of KVMNODE. Reproducing, decompiling, reverse engineering, or scraping them in any form is prohibited.

Breach Handling and Service Termination

To maintain the health and stability of the entire data center ecosystem, KVMNODE reserves all of the following rights and may exercise them without incurring any liability for compensation:

  • ๐ŸšซFor AUP violations, KVMNODE reserves the right toimmediately and without prior notice suspend or permanently terminate service, and to cooperate with law enforcement investigations as necessary.
  • โฐOverdue balance exceeding 7 calendar days will trigger automatic instance reclamation and deep disk wipe. All resulting data loss is the sole responsibility of the user.
  • ๐Ÿ—‘๏ธKVMNODE reserves the right tounilaterally terminate an account for any reason at any time. In such cases, all fees paid are forfeited. Account termination does not affect the continued validity of provisions such as liability limitations and arbitration clauses.
  • ๐Ÿ“คAfter account termination, you have 30 days to submit a ticket requesting export of billing records. After this period, the system will perform an irreversible deletion of account data.

Disclaimer and Limitation of Liability

  • ๐Ÿ“ฆProvided "as is":The service is provided "as is" and "as available" without any express or implied warranties, including merchantability, fitness for a particular purpose, or uninterrupted operation.
  • ๐Ÿ›ก๏ธExclusion of indirect damages:KVMNODE is not liable for any indirect losses, loss of profits, data loss, business interruption, or consequential damages, regardless of whether the possibility of such losses was communicated in advance.
  • ๐Ÿ“ŠMaximum liability cap:The total cumulative liability of KVMNODE is capped at the service fees actually paid by you in the calendar month immediately preceding the claim โ€”this is the sole limit and may not be exceeded.
  • ๐ŸคUser indemnification obligation:You agree to fully indemnify and hold harmless KVMNODE and its affiliates from any third-party claims arising from your use of the service, your breach of these Terms, or your instance being used for prohibited activities.

Jurisdiction and Dispute Resolution

๐Ÿ‡ธ๐Ÿ‡ฌ Singapore Law ๐Ÿ›๏ธ SIAC Arbitration

The interpretation, validity, and dispute resolution of these Terms are governed bythe laws of Singapore, without regard to its conflict of laws rules.

  • ๐Ÿ’ฌMandatory pre-arbitration negotiation:Before initiating any formal arbitration, you must first send a written dispute notice to [email protected]. Both parties must engage in good-faith negotiations within 60 calendar days of receipt of the notice.
  • โš’๏ธMandatory arbitration:Disputes not resolved through negotiation shall be submitted to theSingapore International Arbitration Centre (SIAC) for arbitration under its rules. The seat of arbitration is Singapore, the language is English, and the award is final and binding on both parties with no right of appeal.
  • ๐Ÿ™…Class action waiver:You expressly and irrevocably waive the right to bring claims as a class action or representative proceeding. You may only bring individual arbitration claims on your own behalf.
  • ๐ŸงฉSeverability:If any provision of these Terms is found to be invalid, the remaining provisions continue in full force and effect.
